Terms & Conditions

These Terms & Conditions (the “Agreement”) constitute the supply agreement between ADME Group Pty Ltd trading as Wes Lofts Austral (ACN 684 137 577, ABN 87 684 137 577) (“We”, “Us”, or “Our”) and the Customer (“You”). Unless otherwise agreed in writing, all transactions between Us and You are governed by this Agreement.

1. Credit Terms

1.1 Credit Approval

  • You authorise Us to make enquiries regarding Your creditworthiness, including contacting trade referees.
  • Credit approval is granted at Our discretion. A credit limit may be set and adjusted by Us at any time.
  • Credit approval does not guarantee supply.

1.2 Charge & Security

  • In consideration of Us supplying goods, You and any Guarantors charge all present and future real and personal property with the amount of indebtedness owed to Us.
  • You consent to Us lodging caveats or registering securities over Your property as required.
  • You irrevocably appoint Us as attorney to execute documents necessary to give effect to these charges.

1.3 Personal Property Securities Act (PPSA)

  • This Agreement constitutes a Security Agreement under the Personal Property Securities Act 2009 (Cth).
  • We may register our Security Interest over Your property and that of any Guarantors on the PPSR.
  • To the extent permitted by law, You waive certain rights under the PPSA, including the right to receive a Verification Statement.
  • You indemnify Us against all costs incurred in registering, amending, discharging, or enforcing Our Security Interest.

1.4 Retention of Title

  • Legal ownership of goods remains with Us until full payment is received.
  • We may demand return of goods if payment is not received within agreed terms.
  • If goods are resold before full payment, You must hold the proceeds on trust for Us in a separate account.
  • Risk passes to You on delivery, even though title is retained.

1.5 Termination of Credit

  • We may terminate or suspend credit facilities at Our discretion and refuse further supply on credit terms.

2. Supply Terms

2.1 Authority

  • You warrant that persons listed as “Authorised Persons” on Your Credit Account Application are duly empowered to bind Your business.
  • We may rely on representations of any person holding themselves out as Your agent.

2.2 Orders

  • Orders may be declined, varied, or withdrawn at Our discretion prior to acceptance.
  • Deliveries are subject to stock availability; We are not liable for delays outside Our control.
  • Orders cannot be cancelled without Our written consent.
  • Quantities are supplied to the nearest pack size; surcharges may apply for broken packs.

2.3 Pricing & Payment

  • Prices are per Our current price list or formal quotation and are exclusive of GST unless stated.
  • Orders under $100 + GST attract a $10 + GST handling fee.
  • We may adjust pricing due to currency fluctuations for imported goods.
  • Payment is due on or before the last day of the month following the invoice month (if credit approved).
  • Non-credit customers must pay prior to or upon delivery.
  • Credit card payments attract fees (Visa/Mastercard 1.3% + $0.30, Debit Card $0.33, Ezy Collect 1.3% + $0.30).
  • Interest at 12% p.a. applies to overdue accounts. Recovery costs are payable by You.

2.4 Freight & Delivery

  • Orders over $100 + GST are delivered Free-Into-Store within Brisbane, Gold Coast, and Sunshine Coast (standard cartons). Freight surcharges may apply otherwise.
  • Delivery times are estimates only. We are not liable for delays or transit damage.
  • Claims for defects or shortages must be lodged within 14 days of delivery.
  • Notwithstanding the above, Wes Lofts Australia reserves the right to charge freight on any order.

2.5 Returns

  • Returns after 14 days are at Our discretion and subject to a 20% restocking fee.
  • Returned goods must be current stock, in original packaging, undamaged, and saleable.

2.6 Risk & Liability

  • Risk passes to You upon delivery.
  • We are not liable for force majeure events.
  • Liability for indirect, incidental, or consequential losses is excluded to the fullest extent permitted by law.
  • You indemnify Us against third-party claims arising from defects not caused by Us.

2.7 Warranty

  • For third-party manufactured goods, warranties are as provided by the manufacturer.
  • For goods manufactured or imported by Us, warranties are limited to repair or replacement within six (6) months, subject to exclusions (e.g., misuse, incorrect installation, irregular maintenance).
  • Adhesive products are excluded from warranty once dispatched from Our warehouse.
  • Non-excludable guarantees under the Competition and Consumer Act 2010 (Cth) apply.

3. General Provisions

3.1 Confidentiality

Both parties must keep confidential any information designated as confidential, except where already public or disclosed by law.

3.2 Entire Agreement

This Agreement supersedes all prior arrangements, whether written or oral, relating to the supply of goods.

3.3 Variation

We may vary these Terms by written notice. Continued ordering after notification constitutes acceptance of the variation.

3.4 Governing Law

This Agreement is governed by the laws of Queensland. The parties submit to the non-exclusive jurisdiction of Queensland courts.

3.5 Severability

If any provision is unenforceable, it shall be read down or severed, and the remaining provisions shall continue in full effect.
